TERMS OF SERVICE FOR B2B MANPOWER OUTSOURCING

Provider: Cyforce Security Limited (“Cyforce”)
Client: NSCDC-Licensed Private Security Company (“Partner Agency”)
1. Scope of Agreement
This agreement governs the relationship between Cyforce and the Partner Agency for the recruitment, vetting, and outsourcing of security personnel (Guards, Supervisors, and CSOs). Cyforce acts as the technical manpower partner, while the Partner Agency maintains the primary contract with the end-client.
2. Eligibility & Compliance
- NSCDC Licensing: Outsourcing services are available strictly to agencies with a valid Private Guard Company (PGC) license from the NSCDC.
- Legal Compliance: Both parties agree to operate within the framework of the Private Guard Companies Act and all Nigerian labor laws.
3. Financial Terms
- Partnership Registration Fee: A one-time, non-refundable fee of ₦50,000 is required for account creation, portal setup, and administrative vetting.
- Service Rates: Deployment rates are fixed based on personnel category:
- Trained/Certified: ₦15,000 – ₦50,000 per guard/month.
- Vetted/Untrained: ₦10,000 – ₦20,000 per guard/month.
- Payment Cycle: All invoices for deployed personnel must be settled by the 5th of every month. Failure to remit payments may result in the immediate withdrawal of operatives.
4. Operational Standards & Discipline
- “Body Statue” & Height: Cyforce enforces strict physical standards. The Partner Agency agrees not to request the deployment of any personnel who do not meet these height and fitness requirements.
- Digital Attendance: All Cyforce operatives are mandated to use the Digital Attendance Marking System. The Partner Agency must allow access for these digital logs to be recorded at the beat.
- Uniform & Kit: Operatives must maintain Cyforce’s high standards of uniform maintenance. Seasonal gear (raincoats/boots) provided by Cyforce must be utilized during relevant weather conditions.
5. Vetting & Integrity
- NIMC Verification: Every operative supplied by Cyforce undergoes mandatory National Identity Management Commission (NIMC) verification.
- Replacement Policy: If an operative is found to be undisciplined or negligent, Cyforce will provide a replacement within 48–72 hours of a formal written report from the Partner Agency.
6. Confidentiality & Data Protection
- Non-Disclosure: Cyforce treats all Partner Agency data, including client beat locations and contract specifics, as Highly Confidential.
- Zero-Leak Policy: Information provided during registration will be used solely for partnership purposes and will not be disclosed to third parties.
- Non-Circumvention: Cyforce agrees not to directly approach or solicit the Partner Agency’s clients for the duration of the deployment and for 24 months following the termination of this agreement.
7. Termination of Service
- Either party may terminate a specific deployment or the entire partnership by providing 30 days’ written notice.
- Immediate termination may occur in cases of gross misconduct, failure to pay service fees, or loss of NSCDC licensing.
8. Limitation of Liability
Cyforce Security Limited provides trained personnel but shall not be held liable for losses, damages, or theft at the deployment site unless such loss is directly proven to be caused by the gross negligence or criminal intent of the supplied operative.
9. Acceptance of Terms
By completing the Partnership & Account Creation process and paying the registration fee, the Partner Agency acknowledges that they have read, understood, and agreed to be bound by these Terms of Service.
